1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the SersweAI website at sersweai.com and all AI automation services provided by SersweAI ("we," "our," or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Description of Services

SersweAI is an AI automation services agency. We design, build, and deploy custom automation systems for businesses, including but not limited to:

• Lead capture and CRM automation pipelines
• AI-powered content generation and distribution systems
• Voice-powered data entry and processing tools
• Smart contact networks and outreach automation
• Custom chatbots and conversational AI agents
• Workflow automation and business process optimization

The specific scope of work for each engagement is defined in a separate project proposal or statement of work agreed upon by both parties before work begins.

3. Client Responsibilities

When engaging SersweAI for services, you agree to:

• Provide accurate and complete information necessary for us to deliver the agreed-upon services.
• Respond to requests for feedback, approvals, and access credentials in a timely manner.
• Ensure that any data, content, or materials you provide to us do not infringe on any third-party rights.
• Maintain the security of any credentials, API keys, or system access we set up on your behalf.
• Use the systems we build in compliance with all applicable laws, including data privacy regulations, anti-spam laws, and platform terms of service.

Delays caused by failure to fulfill these responsibilities may impact project timelines without liability to SersweAI.

4. Intellectual Property

Client Ownership

Upon full payment, you own all custom work product created specifically for your engagement. This includes custom automation workflows, configurations, scripts, and integrations built for your business. You receive full rights to use, modify, and distribute the deliverables as you see fit.

SersweAI Retained Rights

We retain ownership of our proprietary tools, frameworks, templates, and methodologies that existed prior to or were developed independently of your engagement. We may use general knowledge, techniques, and non-confidential learnings from our work to improve our services for other clients.

Third-Party Services

Automations we build may rely on third-party platforms (such as n8n, Supabase, OpenAI, or other APIs). Your use of those platforms is governed by their respective terms of service and licensing agreements. SersweAI is not responsible for changes to third-party pricing, availability, or terms.

5. Payment Terms

• Payment terms, amounts, and schedules are specified in the project proposal or statement of work for each engagement.
• Unless otherwise agreed, a deposit of 50% is due before work begins, with the remaining balance due upon delivery.
• Invoices are due within 14 days of issuance unless otherwise specified.
• Late payments may incur a fee of 1.5% per month on the outstanding balance.
• We reserve the right to pause or suspend work on any project with an overdue balance.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, customer data, system credentials, and technical architecture. Confidentiality obligations survive the termination of the engagement for a period of two (2) years.

Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We will make reasonable efforts to fix any defects in our deliverables reported within 30 days of delivery at no additional cost.

Beyond this limited warranty, our services are provided "as is." We do not guarantee specific business outcomes, revenue increases, lead conversion rates, or any particular results from the systems we build. The effectiveness of automation depends on many factors outside our control, including your business model, market conditions, and how the systems are used.

8. Limitation of Liability

To the maximum extent permitted by law, SersweAI's total liability for any claims arising out of or related to these Terms or our services shall not exceed the total amount you paid to SersweAI in the twelve (12) months preceding the claim.

In no event shall SersweAI be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether such damages were foreseeable or whether we were advised of their possibility.

9. Indemnification

You agree to indemnify and hold harmless SersweAI from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the deliverables, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

• By either party: Either party may terminate an engagement with 14 days written notice via email.
• For cause: Either party may terminate immediately if the other party materially breaches these Terms and fails to cure within 7 days of written notice.
• Effect of termination: Upon termination, you will be invoiced for all work completed up to the termination date. Any deposits for uncompleted work will be refunded on a pro-rata basis. We will provide you with all completed deliverables and assist with a reasonable transition.

11. Use of Website

When using the SersweAI website, you agree not to:

• Submit false or misleading information through our contact form.
• Attempt to gain unauthorized access to our systems or data.
• Use automated tools to scrape, crawl, or extract data from our site.
• Interfere with the proper functioning of the website.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in California. Both parties consent to the personal jurisdiction of such courts.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms. For active client engagements, material changes will be communicated via email.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
